THESE TERMS AND CONDITIONS FOR ONLINE SALES (THESE “TERMS”) GOVERN YOUR PURCHASE OF PRODUCTS FROM NAILORED LLC THROUGH ONLINE SALES WITH NAILORED. THEY SET FORTH YOUR RIGHTS AND OBLIGATIONS, INCLUDING GOVERNING LAW AND VENUE (SECTION 11). PLEASE READ THEM CAREFULLY BEFORE ORDERING. YOU MAY NOT ORDER OR OBTAIN PRODUCTS FROM THE SITE UNLESS YOU: (A) AGREE TO THESE TERMS IN THEIR ENTIRETY; (B) ARE AT LEAST 18 YEARS OLD; AND (C) ARE NOT PROHIBITED FROM DOING SO BY ANY APPLICABLE LAW, RULE, OR REGULATION. TO EXTENT APPLICABLE, WE INCORPORATE BY REFERENCE SHOPIFY’S TERMS OF SERVICE AVAILABLE HERE.
1. Applicability of These Terms
These Terms apply to your purchase of products and related services from Nailored LLC, a New York limited liability company (“Nailored,” “Company,” “we,” “us,” or “our”). We may change these Terms at any time by posting the updated version (dated as of its most recent update) to Nailored.com (“Site”). Your continued use of the Site or placement of an order after updated Terms are posted constitutes acceptance. Please review these Terms in their entirety before ordering.
2. Online Orders; Order Acceptance
When you place an order, you are making an offer to purchase the products you selected. We may accept or reject any order, in whole or in part, in our discretion. If we accept your order, you will receive a confirming email, at which point a binding contract is formed. We reserve the right to cancel any order, even after confirmation, in our sole discretion (for example, because of a pricing or description error, suspected fraud, or unavailability); if we cancel a confirmed order, we will refund any amount you paid for the cancelled items. You may cancel your order in its entirety within one (1) hour of placing your order.
For customized or personalized products (including press-on nail sets made to the sizing information you submit or that is saved to your account), your order incorporates the sizing and configuration information associated with your order when it is placed. You are responsible for the accuracy of that information. See Section 6 and our Sizing & Custom Kit Disclaimer.
3. Purchase Limits; No Resale
Our products are sold for personal use only. We may limit or prohibit quantities purchased per person, household, or order, and may restrict or cancel orders that appear to be placed by or under the same account, payment card, or billing or shipping address, or that we believe are placed by dealers or resellers or for commercial resale. We reserve the right to limit, refuse, or cancel orders that, in our judgment, violate this policy, and to cease doing business with customers who do.
4. Prices; Taxes; Payment
Prices are shown on the Site and may differ from prices we offer elsewhere. Prices are subject to change, but you will be charged the price displayed when your order is placed. Where we offer a promotion, its separate terms govern and control in the event of a conflict with these Terms. You are responsible for: (i) the product price; (ii) any applicable sales, use, excise, or similar taxes, calculated and displayed at checkout where required; and (iii) shipping and handling charges. Payment may be made only with a valid credit or debit card or a bona-fide electronic payment provider accepted on the Site and through our authorized payment processor. By providing a payment method, you represent that you are authorized to use it.
5. Shipping; Risk of Loss
We will ship accepted orders to the address you provide. You are responsible for shipping and handling charges, shown before you complete your order. We will use reasonable efforts to meet delivery estimates but are not responsible for carrier delays or other factors beyond our reasonable control. Additional terms appear in our Shipping Policy. Title and risk of loss for products pass to you upon our delivery of the products to the carrier.
6. Returns, Refunds, and Replacements
Your returns, refunds, and replacements are governed by our Return and Refund Policy, which is incorporated by reference. In summary: unused, unopened non-customized products may be returned within 14 calendar days; customized/personalized products and opened or used hygiene items are not returnable except as required by law; and products that arrive defective, damaged, materially not as described, or incorrect are eligible for replacement or refund at no additional cost if you contact us within 3 calendar days. Nothing in these Terms limits any rights you have that cannot be waived under applicable law.
7. Product Safety; Cosmetic Products
Nailored sells cosmetic and personal-care products, which may include press-on nails and adhesives. Some people may have allergic or other reactions to such products. You are advised to read and strictly follow the product label, packaging inserts and instructions, and all manufacturer directions and warnings; to consider a patch test if you have sensitive skin or a history of reactions; and to stop use and seek medical advice if you experience irritation, an allergic reaction, or any other adverse effect. Our products are cosmetics; they are not intended to diagnose, treat, cure, mitigate, or prevent any disease or to affect the structure or any function of the body. Results may vary. 8. Privacy Policy and Website Terms of Use
Your purchase and use of the Site are also governed by our Privacy Policy and our Website Terms of Use, both incorporated by reference. If you register for an account, our Account Terms of Service also apply. In the event of a conflict between these Terms and the Website Terms of Use with respect to a purchase transaction, these Terms control.
9. Representations and Warranties; Disclaimers; Limitation of Liability
(a) Your representations and warranties. You represent and warrant that: (i) you have the right to enter into each transaction without violating these Terms, any law, or any third-party right; (ii) you will use the products only as authorized; and (iii) you are purchasing for your own use and not for resale or export.**
(b) PRODUCT WARRANTIES; DISCLAIMER. NAILORED ASSEMBLES, REPACKAGES, AND PRIVATE-LABELS PRODUCTS MANUFACTURED BY THIRD PARTIES ON ITS BEHALF, OFFERING BOTH STANDARD KITS AND CUSTOM-ASSEMBLED KITS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PRODUCTS ARE PROVIDED “AS IS,” AND WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WHETHER ARISING FROM THE MANUFACTURE, ASSEMBLY, OR CUSTOMIZATION OF THE PRODUCTS. NOTHING HERE AFFECTS ANY IMPLIED WARRANTY OR OTHER RIGHT THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW; SOME STATES DO NOT ALLOW SUCH EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
(c) LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY PRODUCT OR THESE TERMS WILL NOT EXCEED THE PURCHASE PRICE YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM, AND WE WILL NOT BE LIABLE FOR ANY LOSS OF USE, DATA, BUSINESS, GOODWILL, OR REVENUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. No Third-Party Beneficiaries; Force Majeure; Assignment; Severability
These Terms are for your sole benefit and confer no rights on any other person. We are not responsible for any delay or failure caused by events beyond our reasonable control. We may assign these Terms; you may not assign without our prior written consent, and any attempt to do so is void. If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.
11. Governing Law; Jurisdiction and Venue
These Terms, and any dispute or claim arising out of or relating to these Terms, your purchase, or any product (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles.
You and Nailored agree that any legal suit, action, or proceeding arising out of or relating to these Terms or your purchase shall be instituted exclusively in the Supreme Court of the State of New York, County of Kings, or in the United States District Court for the Eastern District of New York. You consent to the personal jurisdiction of these courts, and you waive any objection to the laying of venue in, and any claim of inconvenient forum with respect to, these courts.
To the fullest extent permitted by applicable law, you waive any right to a trial by jury in any such action or proceeding.
12. No Waiver; Notices; Entire Agreement
Our failure to enforce any right or provision is not a waiver. We may give notices by email, regular mail, or by posting on the Site; keep your contact information current. These Terms, together with our order-confirmation email, any product instructions, any separate promotion terms, and our Website Terms of Use, Account Terms of Service, and Privacy Policy, are the entire and integrated agreement between you and Nailored regarding your purchase of products through the Site. If any provision of these Terms are held or made invalid by a court decision, statute or rule, or are otherwise rendered invalid, the remainder of these Terms shall not be affected thereby.
