These Account Creation and Terms of Service (these “Account Terms”) govern the creation and use of a Nailored LLC (“Nailored,” “we,” “us,” or “our”) account on Nailored.com (the “Site”). They supplement, and are in addition to, our Website Terms of Use, Terms and Conditions for Online Sales, and Privacy Policy, each incorporated by reference. By creating or using an account, you agree to these Account Terms. If you do not agree, do not create or use an account.
BY CLICKING “I AGREE” (WHERE PRESENTED) OR BY CREATING OR USING AN ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE ACCOUNT TERMS. YOU MUST BE AT LEAST 18 YEARS OLD TO CREATE AN ACCOUNT.
1. Eligibility
You represent that you are at least 18 years of age (or the age of majority in your jurisdiction, if greater) and have the legal capacity to enter into a binding contract. Accounts are for individual, personal, non-commercial use.
2. Registration; Accurate Information
To create an account, you must provide certain registration information. It is a condition of your account that all information you provide is correct, current, and complete, and that you keep it up to date. Your information is handled in accordance with our Privacy Policy, which you should review.
3. Account Credentials and Security
If you choose or are given a username, password, or other credential, you must treat it as confidential and must not disclose it to anyone. Do not share your account credentials. You are required to establish a unique password for your Nailored account. You expressly agree not to reuse this password across any other third-party accounts or platforms. Your account is personal to you, and you agree not to provide any other person with access to the Site using your credentials. You are responsible for all activity that occurs under your account. You agree to:
• notify us immediately at support@nailored.com of any unauthorized access to or use of your account or any other breach of security;
• exit or log out of your account at the end of each session; and
• use particular caution when accessing your account from a public or shared device.
We may offer or require multi-factor authentication for account access. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our discretion for any or no reason, including if we believe you have violated these Account Terms.
4. Saved Sizing Profiles
Your account may store nail sizing information and saved sizing profiles used to make customized products. You are responsible for the accuracy of the sizing information associated with your account, and you can review or update it before placing an order. The sizing associated with your order when it is placed is what we use to make your set. 5. Acceptable Use
You may use your account only for lawful purposes and in accordance with our Website Terms of Use, including its prohibited-conduct provisions (which prohibit, among other things, unauthorized access, scraping, automated data collection, interference with the Site, and the introduction of malicious code). You agree not to use your account to impersonate any person or misrepresent your affiliation, or in any way that could harm Nailored or other users or expose them to liability.
6. Account Information and Privacy
Information associated with your account is collected, used, and shared as described in our Privacy Policy. We do not acquire ownership of your account information beyond the limited rights described in the Privacy Policy and our other terms, and we use it to provide the Site and our products, not for unrelated commercial exploitation except as disclosed in the Privacy Policy.
7. Suspension and Termination
We may suspend or terminate your account or your access to all or part of the Site at any time, with or without notice, for any conduct we believe violates these Account Terms, including terms incorporated by reference, or any applicable law, or is harmful to Nailored, other users, or third parties. You may close your account at any time by contacting us at support@nailored.com. Termination does not affect rights or obligations that accrued before termination, and provisions that by their nature should survive will survive.
8. Disclaimers; Limitation of Liability
The Site and accounts are provided on an “as is” and “as available” basis, and the disclaimers of warranties and limitations of liability in our Website Terms of Use apply to your creation and use of an account. Nothing in these Account Terms limits any rights you have that cannot be waived under applicable law.
9. Changes to These Account Terms
We may revise these Account Terms from time to time by posting the updated version to the Site, effective when posted unless a later date is stated. Your continued use of your account after the update takes effect constitutes acceptance. However, any change to dispute-resolution provisions will not apply to a dispute for which the parties had actual notice on or before the date the change is posted.
10. Governing Law; Dispute Resolution
These Account Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, and you agree to the exclusive jurisdiction and venue of the state and federal courts located in Kings County, New York, except that any dispute arising out of or relating to your purchase of products is subject to the Governing Law; Jurisdiction and Venue provisions of our Terms and Conditions for Online Sales, which are incorporated by reference.
11. Miscellaneous
These Account Terms, together with the documents incorporated by reference, are the entire agreement between you and Nailored regarding your account. Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, it will be limited or severed and the remainder will remain in effect. You may not assign these Account Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
